Simple Access to Services
These customer purchase program terms (the “Program”) provide customers flexibility in purchasing and using LighthouseAI services. The Program is available through LighthouseAI or its authorized resellers to all customers meeting minimum purchase requirements. Registration for the Program does not obligate you to make a purchase. You may register for the program or request that LighthouseAI or its authorized resellers register you. In either case, you will receive an e-mail registration confirmation providing you with a registration number (your “contract number”) and a link to these terms enabling you to review the terms prior to purchase. When you are ready to purchase, your submission of a purchase order under your contract number to LighthouseAI or an authorized LighthouseAI reseller constitutes your acceptance of the then current Program terms. Should you authorize a finance company to submit an order on your behalf under your contract number, you agree that such submission will likewise constitute your acceptance of the then current Program terms. Ask LighthouseAI or an authorized reseller for a current list of the LighthouseAI service offerings which are available in your geography. LighthouseAI may share your account information with its authorized resellers to enable them to support your transactions.
Pricing, Minimum Purchase and Purchase Terms
Pricing will be established by LighthouseAI or its resellers. LighthouseAI does not control reseller pricing. Either can clarify the minimum initial purchase requirements and minimum re-order and renewal requirements in your geography for the service offerings of interest to you. All purchases under the Program are final with no right of return, cancellation or refund, other than under warranty or the infringement indemnification terms of the relevant end-user license agreement (“EULA”). Pharms Solutions offers a single EULA covering all service offerings which is part of these Program terms and can be viewed here: https://lighthouseai.com/eula/. You should review the EULA in advance of purchase. If you purchase a multi-year subscription for any service, your purchase is for the full value of all years of the subscription, even if required payments are annual. In the event you fail to pay any annual payment when due, and such default shall continue for a period of thirty (30) days, then any and all remaining amounts for that subscription shall become immediately due and payable. LighthouseAI reserves its right to suspend or terminate service delivery for non-payment as set forth in the EULA. You agree that your payment obligations shall be absolute and non-assignable. With respect to any purchase order submitted directly to LighthouseAI and accepted, payment shall be due to LighthouseAI net thirty (30) days from the date of invoice. Should any purchase order identify a “Bill To” other than you, you agree that you remain liable for payment until payment is made. Services shall be delivered electronically/remotely (unless otherwise specified in a purchase order for consulting services). Nothing contained in any purchase order or any other document submitted by you or your finance company to LighthouseAI or its authorized reseller shall add to or otherwise modify the Program terms. The Program terms shall constitute your exclusive agreement with LighthouseAI. Authorized LighthouseAI resellers are independent contractors and are not authorized to bind LighthouseAI.
Program Updates
LighthouseAI may occasionally update these Program terms, including the EULA. When we do, we will also revise the “Last Revised” date at the top of these Program terms, or the EULA, as applicable. LighthouseAI maintains the right to reject a purchase order for non-compliance with these terms or as otherwise permitted by law. Your Program registration shall continue until terminated by either of us for any or no reason upon thirty (30) days prior e-mail notice. Your payment obligations shall survive any termination of the Program.
